CONSTITUTION |
| Article
I - General |
| Section
1 |
The
name of this organization shall be Mid-America Conference Of Clubs,
Incorporated. (MACC) |
| Section
2 |
The
organization shall maintain incorporation under the Laws of the State
of Illinois as a NOT FOR PROFIT ORGANIZATION. |
| Section
3 |
The
official emblem of the Conference shall be a white circle with a black
border. Inside the border are two double triangles whose bases are
open and intersect in the center of the circle forming a stylized
letter "M".
The center of the left triangle is blue, bordered in black and surrounded
on all sides by a white triangle also bordered in black.
The center of the right triangle is red, bordered in black and surrounded
on all sides by a white triangle also bordered in black. A red arrow,
pointing to the left, branches from the right base of the right triangle.
A white area bordered in black also borders the arrow. Below this
emblem are two lines of lower case letters in black. The first line
reads "Mid-America" and the second line reads "Conference
of Clubs". |

4 |
This
revised Constitution, became effective on February 26, 2000 and shall
be supercede all previous Constitution of this organization. Approval
of the new revised by-law's took effect on February 26, 2000. |
| Article
II - Purposes |
| Section
1 |
To
promote brotherhood, sisterhood, and camaraderie among member clubs,
other similar organizations and all clubs whose stated philosophies
coincide with those of the conference. |
| Section
2 |
To
coordinate, by the formulation of the calendar, runs, and primary
events of the member clubs. |
| Section
3 |
To
develop, for the member clubs, a standard system of points for competition
and participation at runs. |
| Section
4 |
To
promote the consideration of the inter-club activities, i.e., combined
runs and events. |
| Section
5 |
To
promote conference member participation in the activities of other
conference member clubs. |
| Section
6 |
To
promote open discussion on topics of mutual interest, and to benefit
the conference and its members. |
| Section
7 |
To
levy dues in such a manner and in such amounts as may be provided
in the by-laws of this organization. |
| Section
8 |
To
have and exercise all powers, privileges and rights conferred on corporations
by the Laws of the State of Illinois. All powers and rights incidental
in carrying out the purpose, for which this corporation is formed,
except such as are inconsistent with the express provisions of the
act under which this corporation is incorporated. |
| Section
9 |
The
forgoing shall be construed both as objects and powers and the enumeration
thereof, shall not be held to limit or restrict in any manner the
general powers conferred on this corporation by the Laws of the State
of Illinois, all of which are hereby expressly claimed. |
| Article
III - Membership |
| Section
1 |
Membership
is limited to establish clubs located in the following states: Alabama,
Arkansas, Georgia, Illinois, Iowa, Kentucky, Louisiana, Michigan,
Minnesota, Mississippi, Missouri, Nebraska (Omaha area only), Ohio,
Tennessee, Wisconsin, and the greater Pittsburgh area. Some states
may overlap with conferences, and membership in other conferences
is permitted. |
| Section
2 |
Any
established club whose aims coincide with those of this conference
may submit an application for membership, subject to the regulations
stipulated in the by-laws. |
| Article
IV - Officers |
| Section
1 |
There
shall be a minimum of four (4) elected officers of this conference,
which shall also be known as the board of directors. |
| Section
2 |
Their
titles, duties, and manner of elections, shall be stipulated in the
by-laws. |
| Article
V - Amendments |
| Section
1 |
Any
proposed amendments to this constitution shall be submitted to the
member clubs at least 60 days in advance of a regularly scheduled
meeting. If approved by a two-thirds majority of the member club delegates
present and voting, the amendment shall become effective immediately. |
